1. Acceptance of Terms
By accessing and using Udharsathi's services, including our website, mobile application, and payment processing platform (collectively, the "Service"), you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use our Service.
These Terms constitute a legally binding agreement between you ("User," "Merchant," or "you") and Udharsathi ("we," "us," or "our"). By creating an account or using our Service, you represent that you are at least 18 years old and have the legal capacity to enter into this agreement.
2. Description of Service
Udharsathi provides a platform that enables merchants to:
- Set up and manage UPI Autopay mandates with customers
- Automate recurring payment collections
- Track payment transactions and manage customer accounts
- Access real-time dashboards and payment analytics
- Receive payment notifications and updates
We act as an intermediary between merchants and payment service providers, facilitating the collection of recurring payments through UPI Autopay mandates.
3. Account Registration and Onboarding
3.1 Account Creation
To use our Service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3.2 Onboarding
To get started, you complete a simple onboarding with basic details only.

4. Use of Service
4.1 Permitted Use
You agree to use our Service only for lawful purposes and in accordance with these Terms. You may use the Service to:
- Collect legitimate recurring payments from your customers
- Manage payment mandates with proper customer consent
- Track and reconcile payment transactions
- Comply with all applicable laws and regulations
4.2 Prohibited Activities
You agree NOT to:
- Use the Service for any illegal or unauthorized purpose
- Create mandates without proper customer consent
- Attempt to collect payments fraudulently or in violation of UPI guidelines
- Interfere with or disrupt the Service or servers
- Reverse engineer, decompile, or disassemble any part of the Service
- Use automated systems to access the Service without authorization
- Violate any applicable laws, rules, or regulations
5. Payment Processing and Fees
5.1 Payment Processing
Payments are processed through authorized payment service providers and banks. We facilitate the transaction but are not a bank or financial institution. Payment processing times may vary and are subject to the policies of payment service providers.
5.2 Fees
Our fee structure is disclosed on our pricing page. Fees may include:
- Transaction processing fees
- Platform subscription fees (if applicable)
- Additional charges for premium features
All fees are subject to change with prior notice. You are responsible for all applicable taxes.
5.3 Refunds and Chargebacks
Refund requests must be handled in accordance with your customer agreements and applicable laws. Chargebacks and disputes are subject to the policies of payment service providers and banks. We may assist in resolving disputes but are not responsible for the final outcome.
6. UPI Autopay Mandates
When creating UPI Autopay mandates:
- You must obtain explicit consent from customers before creating mandates
- You must clearly communicate the mandate terms, including amount, frequency, and duration
- Customers must approve mandates through their UPI app or bank
- You must comply with NPCI guidelines for UPI Autopay
- You are responsible for maintaining accurate mandate records
Customers can revoke mandates at any time through their UPI app or bank. We will process revocations as notified by payment service providers.
7. Intellectual Property
The Service, including its original content, features, and functionality, is owned by Udharsathi and is protected by Indian and international copyright, trademark, patent, trade secret, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your business purposes. You may not copy, modify, distribute, sell, or lease any part of our Service without our prior written consent.
8. Disclaimers and Limitations of Liability
8.1 Service Availability
We strive to provide reliable service but do not guarantee uninterrupted or error-free operation. The Service is provided "as is" and "as available" without warranties of any kind, either express or implied.
8.2 Limitation of Liability
To the maximum extent permitted by law, Udharsathi shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.
Our total liability for any claims arising from the Service shall not exceed the amount of fees you paid to us in the twelve (12) months preceding the claim.
9. Indemnification
You agree to indemnify, defend, and hold harmless Udharsathi, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any rights of another party
- Your violation of any applicable laws or regulations
10. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including:
- Breach of these Terms
- Fraudulent or illegal activity
- Non-payment of fees
- Violation of applicable laws or regulations
You may terminate your account at any time by contacting us. Upon termination, your right to use the Service will cease immediately, but provisions that by their nature should survive termination will remain in effect.
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.
Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in Maharashtra, India.
We encourage you to contact us first to resolve any disputes amicably before pursuing legal action.
12. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.
